Subscribers
Under Law 32 of 1927, two or more adults of any nationality can form a corporation by signing the articles of incorporation.
Articles of incorporation
They state the name, purpose, authorized capital and shares, domicile, duration, directors and resident agent, and are registered at the Public Registry of Panama.
Board of directors and officers
The board has at least three directors. The corporation also appoints officers: at least a president, a secretary and a treasurer.
Resident agent
Like foundations, corporations must have a resident agent in Panama who is a lawyer or a law firm.
After registration
The corporation pays an annual government fee and must keep the records required by law. We explain these obligations in your quote.
